Merger & Acquisition, Financing & Fundraising
Aderholt and Fugit, P.C. is a firm of certified public accountants and business consultants located in Birmingham, Alabama providing accounting, tax, merger and acquisition, and consulting services to small and medium sized closely-held businesses and their owners. The firm, founded in 1989, serves a wide range of clients throughout the Southeast. We work closely with each client to understand his business and the factors critical to its success. Our mission is to help the business owner achieve the objectives he has established for the business. To insure goal-oriented focus, Aderholt and Fugit is structured into "Client Teams" each headed by one of the principals in the firm. Over time the team develops an in-depth knowledge of the client's business, its strengths and weaknesses, and the aspirations and goals of its owner. The teams can then provide the tools and expertise required for the business to achieve its financial objectives. The goal oriented approach employed by our client teams is unique. Traditionally accounting firms structure their staff along functional lines (i.e. bookkeeping, audit, taxes, etc.) with the client's work being randomly assigned to different individuals in the various departments. The individual assigned the work sees only certain aspects of the company's financial history and most likely will be assigned to a different client the following year. The accountant's performance is measured in how efficiently they perform their specific tasks rather than how much assistance they provided the client in meeting his financial objectives. The goal-oriented approach provides the client with significant benefits and continuity through a team of professional advisors assigned to their account. An example of the difference in approaches can be seen when the accounting firm prepares the client's financial statements. The traditional approach is to take what records the client has and prepare statements. Depending on the sophistication of the accounting system, the firm may be required to spend a great deal of time to compile data and reconcile differences in various accounts. The end result is that the client gets an accurate set of financial statements but must pay an exorbitant bill for the work done by the accounting firm. The goal-oriented approach mandates that the client be told what actions must be taken to collect accurate financial data and how much the company will save on an annual basis. Team members install the necessary systems and software, train the users, and verify the integrity of the data collected. By identifying the problem and implementing a solution the client saves audit fees and has more information to manage his business. Many business owners need management and technological consulting expertise that is not found in traditional accounting firms. Aderholt & Fugit recognized this need and formed a joint venture with a consulting practice (Certus, LLC) to provide the expertise required to deal with the non-financial issues facing the business owner. The practice is headed by Bill Adams, a Harvard MBA graduate with over twenty years of experience in managing small companies. The success of Aderholt & Fugit has been and will continue to be the quality of the individuals who have chosen to be part of our firm. The quality of service you receive is not determined by the size of the firm you engage but on the quality of the individual who works on your account. Our employees are dedicated and highly skilled. One of our newest hires, Dana Horton, just made the highest score in the state on the Uniform CPA Examination. We are committed to providing our clients with the highest level of professional expertise in the industry.

Typically a company begins to use our services when its revenue base is between $25 million-to-$250 million. We have successfully represented hundreds of such companies. Many of these have profitably grown to $300 million to over $2 billion in revenue size. Our services are designed to help the controlling owners of a business to build a more profitable and more valuable company. The businesses we represent typically have five or fewer controlling shareholders. The majority of our clients are high net worth individuals that have between 30% and 90% of their personal wealth invested in one or more medium-sized companies. They range from being first generation entrepreneurs to fifth generation family-owned businesses and other privately-owned companies. We have also represented many controlled smaller public corporations; smaller subsidiaries or divisions that are wholly-owned by larger public companies; joint ventures between private and public companies; and medium-sized businesses that are owned as portfolio companies by significant family trusts or buyout capital or private equity funds. Usually we provide a range of need-based services to client-owned companies periodically over a five to-twenty year timeframe. The breadth and depth of our skilled senior professional staff members enables us to deliver advice that strengthens the operating performance of a business in such areas as growth strategy and execution results; builds stronger management teams; instills the use of sales and marketing best practices; improves purchasing and global sourcing or other supply chain benefits; and establishes metrics for more effective business governance. Our competency has also been repeatedly demonstrated in matters relating to financing the growth of a business, acquiring companies, arranging strategic alliances including the licensing of intellectual property, or to assist with succession management planning, owner liquidity, or the inter-generational transfer of business-related wealth or ownership. In all, we have been integral advisors on business decisions that have produced billions of dollars of profit, shareholder value, capital formation, strategic alliances and completed transactions for our clients.
